Terms of Service

Plain language commitment: These terms are written to be understood, not just signed. By using NavPax, you agree to what is below. If anything is unclear, email us — we would rather explain it than have you agree to something you do not understand.

NavPax is not a medical service. Navi, our AI assistant, provides health information and research synthesis for educational purposes only. Navi does not diagnose conditions, recommend medications, or replace your relationship with a licensed medical provider. Always consult a qualified healthcare professional before making any medical decision.

Acceptance of Terms

By accessing or using NavPax — including the website at navpax.ai, the Navi AI assistant, and any related services — you agree to be bound by these Terms of Service and our Privacy Policy.

If you do not agree to these terms, please do not use NavPax.

We may update these terms from time to time. When we do, we will update the "Last updated" date above and notify registered users by email. Continued use of NavPax after changes take effect constitutes acceptance of the revised terms. If a change materially affects your rights, we will provide at least 30 days notice before it takes effect.

AI Disclosure and Limitations

Navi is an artificial intelligence system. You are not speaking with a human being. This disclosure is provided in compliance with applicable state laws including California AB 489, Texas TRAIGA, and similar statutes requiring transparency about AI interactions in health-adjacent services.

AI-generated health information has inherent limitations. Navi may produce responses that are incomplete, outdated, or inaccurate. Navi's responses should not be understood as exhaustive summaries of all available evidence. The quality of Navi's responses depends in part on the information you provide and how you frame your questions.

NavPax does not guarantee that any clinical trial surfaced by Navi is currently recruiting, that you will be eligible for any trial, or that any information about a specific trial is current. Always verify trial information directly at ClinicalTrials.gov or with a clinical trials coordinator.

No Medical Advice

The content generated by Navi is for informational and educational purposes only. It does not constitute medical advice, medical diagnosis, or a recommendation of any specific treatment, medication, or course of action.

NavPax is not a covered entity under the Health Insurance Portability and Accountability Act (HIPAA). Do not use NavPax as a substitute for HIPAA-protected medical record keeping or communications with your healthcare team.

Your use of NavPax does not create a provider-patient relationship between you and NavPax, or between you and any individual associated with NavPax, including its founder. Information shared on NavPax is not privileged or confidential in the legal or medical sense.

Section 05

Eligibility

You must be at least 13 years old to use NavPax. If you are between 13 and 18, you may use NavPax only with the involvement of a parent or guardian.

By using NavPax, you represent that the information you provide is accurate and that you have the legal authority to agree to these terms. If you are using NavPax on behalf of another person — such as a family member or patient — you represent that you have their authorization to do so.

Free Access

NavPax is currently available to try for free with no account or credit card required. Free access includes up to 15 messages with Navi, tracked in your browser. This limit exists to give you a genuine experience of the product while we continue to build toward full subscription access.

Because free access is session-based and tracked in your browser, NavPax cannot technically prevent someone from clearing their browser data to reset their message count. However, we ask that you use NavPax fairly and in the spirit these terms intend.

Section 07

Subscriptions and Billing

Paid plans

NavPax will offer subscription plans billed monthly or annually. Current pricing is displayed at navpax.ai when subscriptions become available. By subscribing, you authorize NavPax to charge your payment method on file at the start of each billing period.

Founding Member pricing

Users who subscribe at Founding Member pricing have their rate locked for as long as their subscription remains active and in good standing. If you cancel and later resubscribe, the locked rate may no longer be available. This pricing lock is a commitment from NavPax and will not be unilaterally revoked while your subscription remains active.

Automatic renewal

Subscriptions renew automatically at the end of each billing period unless cancelled. You will receive a receipt by email for each charge. We will notify you before any price change affecting your subscription takes effect.

Failed payments

If a payment fails, we will notify you by email and attempt to process the payment again. If payment cannot be collected after reasonable attempts, your subscription may be paused or cancelled. Access to paid features will be restored once payment is resolved.

Section 08

Cancellation and Refunds

You may cancel your subscription at any time. Cancellation takes effect at the end of your current billing period — you retain access through the period you have paid for.

We do not offer prorated refunds for unused time within a billing period, except where required by applicable law. If you believe you were charged in error, contact support@navpax.ai within 30 days of the charge and we will review it promptly.

Acceptable Use

You agree to use NavPax only for lawful purposes and in a manner consistent with these terms. You agree not to:

We reserve the right to suspend or terminate access for violations of these terms, without notice in cases of serious or repeated violations.

Section 10

Intellectual Property

The NavPax brand, logo, wordmark, product name, and original content on this website are owned by NavPax and protected by applicable intellectual property law. You may not use our name, logo, or branding without prior written permission.

The content Navi generates in response to your questions is provided for your personal, non-commercial use. You may save, print, and share your conversation summaries and visit prep materials for your own healthcare purposes.

You retain ownership of any content you submit to Navi. By submitting content, you grant NavPax a limited, non-exclusive license to process it for the purpose of generating responses and improving the service, subject to our Privacy Policy.

If you submit feedback, suggestions, or ideas about NavPax, you grant us the right to use that feedback without compensation or attribution, though we will never sell it to third parties.

Section 11

Service Availability and Changes

We aim to keep NavPax available at all times, but we do not guarantee uninterrupted access. NavPax may be unavailable due to maintenance, technical issues, or circumstances beyond our control.

We reserve the right to modify, suspend, or discontinue any part of the service at any time. If we discontinue a feature that significantly affects paid subscribers, we will provide reasonable notice and a prorated credit or refund where appropriate.

We are not liable for any loss or inconvenience resulting from temporary unavailability of the service.

Section 12

Disclaimer of Warranties

NavPax is provided "as is" and "as available." We do not warrant that the service will be uninterrupted, error-free, or that Navi's responses will be accurate, complete, current, or suitable for any particular purpose.

To the fullest extent permitted by law, NavPax disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that any clinical trial information provided by Navi is current, accurate, or that you will qualify for any trial. Clinical trial eligibility and availability must be confirmed directly with the trial sponsor or ClinicalTrials.gov.

Section 13

Limitation of Liability

To the fullest extent permitted by applicable law, NavPax and its operators shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the service, including but not limited to damages arising from reliance on health information provided by Navi.

In no event shall our total liability to you exceed the amount you paid us in the twelve months preceding the claim, or $100 if you have not made any payments.

Medical decisions are yours and your provider's. NavPax accepts no responsibility for any medical outcome resulting from health information obtained through Navi. This limitation applies to the fullest extent permitted by applicable law and is a fundamental part of the basis on which NavPax provides the service.

Section 14

Indemnification

You agree to indemnify, defend, and hold harmless NavPax and its operators from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising from your use of the service, your violation of these terms, or your violation of any rights of another party.

Section 15

Dispute Resolution

We hope to resolve any disputes informally. If you have a concern, please contact us at legal@navpax.ai and we will make a good-faith effort to address it within 30 days before either party pursues formal action.

Governing law

These terms are governed by the laws of the United States and the state in which NavPax operates, without regard to conflict of law principles. Any disputes that cannot be resolved informally shall be resolved in a court of competent jurisdiction.

Class action waiver

To the extent permitted by applicable law, you agree to resolve disputes with NavPax on an individual basis and not as part of a class or collective action. This waiver does not apply where prohibited by law.

Severability

If any provision of these terms is found to be unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will remain in full effect.

Section 16

Force Majeure

NavPax is not liable for any failure or delay in performance resulting from causes beyond our reasonable control, including natural disasters, power outages, internet service disruptions, cyberattacks, acts of government, or other circumstances outside our ability to prevent or mitigate.
